1. Agreement
By using virtualonline.website or engaging Virtual Online ("we", "us", "our") for any service, you agree to these Terms of Service. If you are accepting on behalf of a company, you confirm you are authorised to do so. Where a signed proposal or contract conflicts with these terms, the signed document prevails.
2. Our services
We provide web design, web development, e-commerce, mobile app and software development, SEO, digital and social media marketing, branding, graphic design, video production, hosting, and maintenance. The exact deliverables for your project are defined in your written proposal.
3. Quotes, proposals and engagement
Quotes are based on the scope you describe and are valid for 30 days unless stated otherwise. A project begins once you accept the proposal and pay the agreed deposit. Work outside the agreed scope ("change requests") is quoted and billed separately.
4. Fees and payment
- Unless agreed otherwise, projects require an upfront deposit before work starts, with the balance due at agreed milestones or on delivery.
- Retainer services (SEO, marketing, maintenance, hosting) are billed in advance each cycle.
- We accept bKash, Nagad, SSLCommerz, bank transfer (BDT), and Wise, Payoneer, or Stripe for international clients.
- Late or missed payments may pause work and delay timelines. Domains, third-party licences, and gateway fees are billed at cost and are non-refundable once purchased.
5. Project scope, revisions and timelines
Each proposal lists the included revision rounds. Additional revisions are billed at our standard rate. We commit to the timeline in the proposal, provided you supply content, approvals, and access on schedule; delays on your side move the timeline accordingly.
6. Your responsibilities
- Provide accurate information, content, branding assets, and timely feedback and approvals.
- Ensure you hold the rights to any material (text, images, logos, fonts) you give us to use.
- Maintain the security of any accounts, domains, or hosting under your control.
7. Intellectual property and ownership
On full payment, ownership of the final deliverables created specifically for you transfers to you. Until then, all work remains our property. We retain ownership of our pre-existing tools, frameworks, and code libraries, and the right to display the completed work in our portfolio and marketing unless you ask us in writing not to. Third-party assets (stock images, fonts, plugins) remain governed by their own licences.
8. Third-party services
Projects often rely on third-party providers (hosting, domain registrars, payment gateways, APIs). We are not responsible for outages, price changes, or policy changes by those providers, though we'll help you navigate them.
9. Warranties and disclaimers
We deliver our services with professional care and skill. Beyond that, the website and services are provided "as is" without further warranties. We do not guarantee specific business results, search-engine rankings, ad performance, or revenue, as these depend on factors outside our control.
10. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from a project is limited to the fees you paid us for that project. We are not liable for indirect, incidental, or consequential losses, including lost profits or data.
11. Confidentiality
We keep your business information confidential and expect the same in return regarding our methods and pricing. This survives the end of the engagement.
12. Termination and cancellation
Either party may end an engagement in writing. Fees for work completed up to the cancellation date remain payable. Refunds, where applicable, are handled under our Refund & Cancellation Policy.
13. Governing law
These terms are governed by the laws of Bangladesh, and any dispute falls under the jurisdiction of the courts of Dhaka, Bangladesh — without affecting any mandatory consumer rights you have where you live.
14. Changes to these terms
We may update these terms from time to time. The "Last updated" date above shows the current version. Continued use of the site or our services after changes means you accept the updated terms.
